What is Addition of a Director?
Director of a company is the person who is elected by the shareholders whose responsibility is to manage the affairs of the company in accordance with the Memorandum of Association and the Articles of the Association of the company. As per the section 260 and section 284 of the Companies Act 1956, the articles of association of the company are the source of authority from where the Board of Directors draws the rights to add new directors. The person then appointed must be eligible as per the relevant clauses mentioned in the Articles of Association and he must give his consent in the written form that should be registered by the company with itself.
Procedure of Adding a Director
3 Working Days
The newly elected director must apply for the Director Identification Number by filing an e-Form DIN-1 with the Ministry of Corporate Affairs; the Government of India.
4 Working Days
A decision is needed to be passed by the board, that states the approval of the appointment of the director. As soon as this is done, we will file Form DIR-12 with the Registrar of the company.
